ECONOMIC AND MATERIAL SUPPLY PROVISIONS
for the acquisition of cinematographic works on the site streeen.org
Terms and conditions effective from December 15, 2022
The portal streeen.org hosts independent and arthouse films and documentaries with the primary goal of promoting their distribution by making them available to the public via streaming, both free and paid.
These economic and material supply provisions constitute an attachment and an integral part of the "Assignment Agreement contained in the document Non-exclusive Assignment Agreement of Cinematographic Rights" which regulates and authorizes the use of the Transferor's films for the distribution of Film Works on the site streeen.org by STREAMTHINGS srl.
As such, these provisions are binding for the Transferor of Rights / Provider of Film Works to the site STREEEN towards Streamthings srl.
The economic and supply provisions listed here may be subject to change on a quarterly basis.
The date indicated at the top of this document shall apply to the provisions in force.
By signing the Contract, the Transferor acknowledges that these economic and supply provisions may be subject to change with a maximum frequency of quarterly.
Any changes are subject only to the obligation of timely communication by Streamthings via email to the Transferor, who is granted the right to withdraw at any time, following the simple procedures set out in the Contract.
The Seller authorizes Streamthings srl, directly or through third parties, to conduct appropriate investigations to verify the information provided.
You also authorize the sending of emails relating to the Economic Provisions and, if consent is given within the Contract, the sending of emails relating to publication opportunities.
Streeeen! – Streamthings srl, at its sole discretion, has the right to advertise, market, and promote the Film Works hosted in the portal's Catalog on all media (whether already known or identified subsequently) using the Material submitted and any images, trailers, logos, graphics, advertising materials, and metadata provided by the Provider.
CURRENT ECONOMIC CONDITIONS
FILM CATALOG
SINGLE FILM MODE PAY-PER-VIEW FILM
- Film Works from the Film catalogue (feature films longer than 40 minutes) with a production date prior to 2018 will be made available for streaming to the public at a unit price of €2,80 (including VAT) (TVOD - PayPerView) for a streaming period of 72 hours (3 days from the time of payment).
- The gross income for the Transferor will be 60%.
- Streamthings will assume the SIAE withholdings.
- GROSS REVENUE – "Gross Revenue" means the consideration received pursuant to point 1, net of the applicable VAT and bank fees incurred for crediting the consideration. (For example, assuming the application of the applicable VAT rate of 22% and bank fees of €0,25, the gross revenue will be €2,04. Therefore, the fee paid for the transfer of rights, equal to 60% of the gross revenue of €2,04, will be €1,22.)
PAY-PER-VIEW REVIEW MODE
- Film Works of any length can be included in Reviews created by the editorial staff of Streeen!
- The price of each individual Review is set by the site's editorial staff and cannot exceed €5,50.
- The division of gross proceeds between Streamthings srl and the Sellers for all the film Works present in each individual festival sold will be 30% to Streamthings and 70% to the Sellers of the various film Works included in the festival (for gross proceeds see GROSS REVENUE in SINGLE FILM PAY-PER-VIEW FILM MODE).
- The distribution of revenue for each film work included in the Festival will be calculated based on the algorithm reported in the attachment below.
SUBSCRIPTION TERMS
- Film works of any length will be included in the catalogue of “Streeen!”, a catalog that will be made available to the public with an automatically renewing Monthly Subscription or a manually renewing Annual Subscription.
MONTHLY SUBSCRIPTION
- The monthly subscription price is set at €6,50 (VAT included), automatically renewed until the subscriber cancels.
- The division of the gross monthly subscription revenue between Streamthings srl and the Licensors for all the film Works included in the catalog will be 30% for Streamthings and 70% for the Licensors of the individual film Works included in the catalog (for gross revenue, see GROSS INCOME in SINGLE FILM PAY-PER-VIEW MODE). This division will be calculated based on the reporting quarters.
ANNUAL SUBSCRIPTION
- The price of the annual subscription is set at 49,00 euros (VAT included) until 31/12/2022 included, at 54,00 euros (VAT included) from 1 January 2023
- The division of gross revenue between Streamthings srl and the Vendors of the annual subscription for all the film Works included in the catalog will be 30% to Streamthings and 70% to the Vendors of the individual film Works included in the catalog (for gross revenue, see GROSS INCOME in SINGLE FILM PAY-PER-VIEW MODE). These revenues will be divided into four quarters and their distribution to the Suppliers will be calculated based on the reporting quarters.
- The revenue distribution for each film work in the catalogue will be calculated based on an algorithm reported in Appendix 1 below.
PROMOTIONS AND PROMOTIONAL VIEWS
- The Provider agrees to provide free or discounted access to viewing the film to those who, at the site's discretion, may access the site's materials for technical and promotional reasons (technicians, promoters and journalists).
- The Supplier agrees to provide up to 100 monthly subscriptions per quarter to the catalogue of Streeen at €1,00 (VAT included) for newsletter subscribers Streeen.org – The gross proceeds from these promotional monthly subscriptions will be credited in full to the Suppliers.
CONVENTIONS
From January 1 2023 Streeen implements an agreement with AICS – Provincial Directorate of Turin. Under this agreement, AICS Turin and Province members will be able to benefit from a monthly subscription to the catalogue. Streeen at the price of €5,00 (VAT included)
- The division of gross revenue with Suppliers will follow the same rules, methods and percentages as the Monthly Subscription (see SUBSCRIPTION METHOD - MONTHLY SUBSCRIPTION)
CANCELLATION
- The Supplier and Streeen-Lab may cancel the agreement, with 14 days' notice, after the first 30 days from the date on which the Film Work is made physically available online to the public, according to the methods set out in the Contract.
REPORTING OF FILM WORKS IN THE FILM CATALOGUE
- Reports relating to the Works present in the Film Catalogue will be sent every six months by email, within 15 days of the end of the two deadlines of June 30th and December 31st.
“FIRST VISION STREEEN"
- Film Works (feature films longer than 40 minutes) with a production date from 2018 onwards will be made available for streaming to the public at the unit price of €4,20 VAT included, exclusively in TVOD- PayPerView mode, on the “Prima Visione” channel. Streeen” for a streaming period of 72 hours (3 days from the moment of payment) – these works are to be considered extra-catalogue.
- Film Works featured in the First Vision channel Streeen will be available to the public for a period of 90 days, renewable exclusively in the event of continued success, subject to agreement between the Seller and STREAMINTHINGS.
- Film Works featured in the First Vision channel Streeen will not be available to the public for viewing via Subscription Catalog (SVOD), but the Seller agrees that STREAMTHINGS may apply a maximum discount of 20% for those who are subscribed to the “Film catalog of StreeenIn such cases, the compensation due to the Seller will be 70% of the gross revenue from such sales, net of any SIAE withholdings, the latter being borne by STREAMTHINGS.
- STREAMTHINGS undertakes to send a report by email within 15 days of the end of the 90-day contract.
Annex 1 – REVENUE DIVISION ALGORITHM
The revenue-sharing algorithm establishes the parameters and percentages of revenue due to each individual Work present within a given Review or Catalogue of films.
The algorithm divides the revenue into 4 equal segments (25% each)
25% – divided by the total number of Works participating in the Exhibition and actually viewed, lasting more than two minutes;
25% – divided by the length of each individual work compared to the total number of minutes of all works in the review. Works that have not been viewed at all during the three-month period are excluded from this parameter;
25% – divided by the total minutes viewed by the single Work in relation to the total minutes viewed by the set of Works in the exhibition;
25% – divided by the number of views totaled by the single Work in relation to the number of views totaled by the set of Works of the entire exhibition;
